By accessing and using the Moor Caribou website (moor-caribou.autos) and our online language education services, you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, please do not use our services.

Description of Services

Moor Caribou provides online language education services, including group courses, private tutoring, and corporate training programs. Our services are delivered through live video sessions and our online learning platform.

Eligibility

Our services are intended for individuals aged 18 years or older. By using our services, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.

Account Registration

To access certain features of our services, you may need to create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

Course Enrollment and Payment

Pricing

All prices are listed in Canadian Dollars (CAD) and are subject to change without notice. Payment is required at the time of enrollment unless otherwise specified.

Refund Policy

• Full refunds are available up to 7 days before a group course begins
• Refund requests between 7 days and the course start date may receive a partial refund or course credit at our discretion
• No refunds are available after a course has started
• Private tutoring sessions cancelled with less than 24 hours notice are non-refundable

User Conduct

When using our services, you agree not to:

• Disrupt or interfere with the learning experience of other students
• Share course materials, recordings, or login credentials with third parties
• Use our services for any unlawful purpose
• Harass, intimidate, or behave inappropriately toward instructors or other students
• Attempt to gain unauthorized access to our systems or other user accounts
• Record sessions without explicit permission

Intellectual Property

All content provided through our services, including but not limited to course materials, videos, worksheets, and audio recordings, is owned by Moor Caribou or our licensors and is protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use course materials for personal educational purposes only. You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent.

Certificates

Certificates of completion are provided upon successful completion of courses. These certificates acknowledge participation and are not official academic credentials or professional certifications. They should not be represented as such.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:

• Our services will meet your specific learning objectives
• Our services will be uninterrupted, timely, secure, or error-free
• Any particular level of language proficiency will be achieved

Limitation of Liability

To the maximum extent permitted by law, Moor Caribou shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless Moor Caribou, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms of Use.

Modifications to Terms

We reserve the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified terms.

Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms of Use or your use of our services shall be resolved through good faith negotiation. If negotiation is unsuccessful, disputes shall be submitted to binding arbitration in Toronto, Ontario, in accordance with applicable arbitration rules.

Severability

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
